Cyber Connective Platform Licensing Terms and Conditions

  1. Acceptance of Terms
    • By using the Cyber Connective Platform (the “Software”) provided by C3 – Cyber Connective Corporation (“C3”), an individual or entity that accesses or uses the Software (“User”) agrees to be bound by these terms and conditions (“Terms”). If you do not agree to these Terms, do not use the Software.
  2. License Grant
    • C3 grants you a non-exclusive, non-transferable, revocable license to access and use the Software solely for your internal business purposes, subject to the limitations set forth in these Terms. This License does not permit resale, distribution, publicly performing or displaying, leasing, licensing, or other commercial exploitation of the Software.
  3. Data Processing and Security
    • C3 will implement reasonable and appropriate measures to protect the security and confidentiality of Data. The User agrees to comply with all applicable data protection laws and regulations and will not use the Software to process any unlawful data.
  4. Software Usage
    • Users are permitted to use the Software in accordance with these Terms and any accompanying documentation. Users must not modify, reverse engineer, or otherwise alter the Software without C3’s prior written consent.
  5. Service Level Agreements
    • C3 commits to maintaining an uptime of 99.5% for the Software. If uptime falls below this level, Users may be eligible for service credits as outlined in the Service Level Agreement annexed to these Terms.
  6. Restrictions
    • The user shall not i) Reverse engineer, decompile, or disassemble the Software. ii) Rent, lease, lend, sell, sublicense, or otherwise redistribute the Software. iii)Use the Software for any purpose that is unlawful or prohibited by these Terms.
  1. Intellectual Property Rights
    • All intellectual property rights in the Software and any associated documentation are owned by C3 or its licensors. Use of the Software does not grant any ownership rights in the Software.
  2. Confidentiality
    • You agree to maintain the confidentiality of any proprietary information received during the use of the Software.
  3. Warranties and Disclaimers
    • The Software is provided “as is” without any warranties, express or implied, including but not limited to the implied warranties of merchantability and fitness for a particular purpose. C3 DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR FREE; NOR DOES IT MAKE ANY WARRANTY AS TO THE RESULTS THAT MAY BE OBTAINED FROM USE OF THE SERVICES. EXCEPT AS EXPRESSLY SET FORTH IN THIS SECTION, THE SERVICES AND IMPLEMENTATION SERVICES ARE PROVIDED “AS IS” AND COMPANY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE AND NON- INFRINGEMENT.
  4. Limitation of Liability
    • C3 shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Software.
  5. Modifications to Terms
    • C3 reserves the right to modify these Terms at any time. Your continued use of the Software following the posting of revised Terms means that you accept and agree to the changes.
  6. Termination
    • C3 may terminate your access to and use of the Software at any time if you breach these Terms.
  7. Governing Law
    • These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without giving effect to any principles of conflicts of law.
